Revenue Share subject to Itembase Terms of Service. Itembase is subject to Terms with supported Channel Partners so Company compliance and agreement is required.

This Agreement – Terms of Service (“Agreement”) is between company named above (“Company”) and Itembase Holdings Inc., a Delaware Corporation (“Itembase”) located at 2870 Peachtree Rd NW #915-8835, Atlanta, GA 30305, (each a “Party” and collectively, the “Parties”) and incorporated into the Agreement as of the last signature date above.

Itembase Terms of Service Modifications

Contract Start Date October 15th 2025

Itembase ensures that all necessary resources, including personnel, systems, and infrastructure, are in place and available to commence the project kickoff within thirty (30) calendar days from the Contract Effective Date.

With respect solely to the Services booked under this Order Form, the Parties expressly agree that the following provision of the Itembase Terms of Service shall not apply and is hereby excluded in its entirety:

"Notwithstanding the terms in Section 3.3, Itembase reserves the right to increase its fees from year-to-year by 6% or the Consumer Price Index, whichever is greater after an initial 12-months of Service. Itembase will provide 30 days’ notice prior to making any such change."

For the avoidance of doubt, Itembase shall have no right under this Order Form to unilaterally increase fees as described in the above provision. Any changes to fees in connection with this Order Form shall require the prior written agreement of both Parties.

Program Details

Branding & Network: From the information Itembase has collected about your company, we will add your Company Profile, Application/Service Profile(s) and Merchant value proposition to Itembase supported Channels making your company a part of an exclusive network consisting of the largest eCommerce Brands and Channels in the world. This will set the foundation for cross-promotion across Itembase supported Channels.

Channels, Partnership & Strategy: We will work actively within our Channels and with your partnership team to identify, evaluate, negotiate, launch and manage partner channels that reach and convert the most Merchants.

Marketing: We will continuously work with your marketing team to identify, launch and optimize marketing campaigns that convert Merchants through best-practices sharing of market insights, case studies and by continuously reviewing your marketing activities with your team.

Sales and Onboarding: Itembase will work with your team to optimize your sales and onboarding process. This includes process reviews, case studies that can be referenced, conversion best practices and value of Merchant reward programs that can be promoted.

Technical: Itembase will host the integration and data management to/from your APIs and the Channel APIs, creating a no-code environment for your company and the Merchant. We will also provide feedback to you for any needed Application and API improvements.

Go To Market Process

Preparation Phase: During the Preparation Phase we will help you create a Go To Market Plan based on the phases below by identifying the initial targeted Channels, marketing campaigns, onboarding processes and feature set that will drive Merchant interest and revenue generation. The Go To Market Plan will be created in parallel of the technical set-up. This process will continue on a continuous basis to prioritize and add additional Channels to your Program that will drive revenue.

Go To Market Phase (1): Validation that your Application and API(s) are ready for Merchant onboarding across Channels.

Go To Market Phase (2): Optimization of your Merchant conversion rate through stream-lined onboarding flows and 5-star experience.

Go To Market Phase (3): Scale for growth across multiple Channels to reach Merchants while offering an automated Merchant acquisition approach.

Go To Market Phase (4): Discovery of your Application across new regions and Channels to reach Merchants everywhere without limitation.

Go To Market Phase (5): Leverage the Itembase Network of Application Providers for cross-promotion and marketing.
