This Order Form is subject to the Itembase Customer Agreement – Terms of Service (“Agreement”) between company named above (“Customer”) and Itembase Holdings Inc., a Delaware Corporation located at 2870 Peachtree Rd NW #915-8835, Atlanta, GA 30305, and entered into as of the last signature date above. By signing this Order Form you agree to the Itembase Terms of Service.

Itembase Terms of Service Modifications

  • Customer agrees to pay invoices within 14 days
  • Itembase and Customer will discuss and collaborate based on API limitations per Commerce System
  • Usage of Customer company logo will approved in writing and will not be unreasonably withheld
  • All other Terms per the Itembase Customer Agreement – Terms of Service will remain in full force and effect
  • Price increases under this Agreement may not occur until after the initial 12-months of Service, may not occur more than annually thereafter, and my not exceed an aggregate amount of 5% during any 12 months of Service.
  • The definition of Services under this Agreement will include the provision of purchase data detail to Customer and also to present the Customer’s pay form and to receive a response from the Customer related to the results of the payment.
  • Customer will not be responsible for the payment of any fees that are not set out in this Order or otherwise agreed to in writing by Customer.
  • No minimum fees other than as specifically set forth in this Order and associated Terms will be applicable or billable to Customer.
  • The SLA provided and described in the attached link replaces Exhibit B - Itembase Service Level Metrics in the Terms. LINK: https://docsend.com/view/tqqt6e6yychnyc5t
  • For clarity, the Year 1 Platform Fee of $5,653 monthly but billed annually will be due and payable within 14 days of Agreement execution and will be the only fee or charge payable by Customer to Itembase under this Agreement during the first year period following the date previously set forth in this sentence.  Thereafter, the only fee or charge payable by Customer to Itembase under this Agreement will be the per transaction fee set forth in this Order and Terms. 
  • Customer’s customers will not enter into an agreement with Itembase for services under this Agreement. Customer will add agreed-upon language in its agreement with its customers.
